Terms & Privacy

This document is the agreement between Kidus Digital Group and any business or individual who uses BookHere, and it explains how information is collected, used, stored and deleted. It is one document because the two subjects are related: much of what we may do with information is governed by the agreement itself. Part One is the agreement. Part Two is the privacy notice.

Part one · the agreement1. The parties

BookHere is a service provided by Kidus Digital Group, the trading name of a sole proprietorship operated by Kidus Tefeta in Maryland, United States. It is not incorporated. A limited liability company of the same name is being formed, and when it exists this agreement continues unchanged with that company standing in our place. In this document, "we", "us" and "our" mean Kidus Digital Group, and "you" and "your" mean the business, organisation or individual that holds a BookHere account. Where an individual accepts this agreement on behalf of a company, that individual confirms they are authorised to bind it.

By creating an account, using a booking page, or paying a fee, you accept this agreement. If you do not accept it, do not use the service.

2. Definitions

TermMeaning
Account holderThe business, organisation or individual that holds a BookHere account. Referred to as "you".
Booking pageThe public page at which your customers view your availability and request an appointment.
CustomerA member of the public who books an appointment through your booking page. Your customer, not ours.
StudioThe private area in which you manage your appointments, hours, services and settings.
PlanThe commercial arrangement under which you use the service, including any free plan.
ContentAnything you or your customers submit through the service, including text, images and settings.

3. The service

BookHere provides scheduling software. It gives you a public booking page, a private studio in which to manage that page, automatic confirmation and reminder messages, and a record of the appointments and customers associated with your account. We provide and maintain the software and the infrastructure it runs on.

We do not provide the service you sell. We are not a party to the appointment, we do not supply the work, we do not take payment from your customers on your behalf, and we do not hold funds for you. The commercial relationship at an appointment is between you and your customer alone.

4. Accounts and eligibility

You must be at least 18 years old and legally able to enter into a contract. You are responsible for the accuracy of the information on your account, for keeping your password confidential, and for all activity that occurs under your account. Notify us promptly at kidus@kidusdigitalgroup.com if you believe your account has been used without your authorisation.

One account covers one booking page and one calendar. Additional pages require additional plans. Accounts may not be shared between unrelated businesses, resold, or transferred without our written agreement.

5. Plans, fees and billing

The current plans are:

PlanWho it is forFee
ProfessionalAn individual practitioner operating under their own name$29 per month
BusinessA shop, studio, practice or team, with the page built by us$99 per month
TeacherA teacher at a listed schoolFree

The first seven days. A new paid account begins with a free period of seven days on either plan. No fee is charged during it. The card is charged for the first month at the end of the seventh day unless the plan is cancelled before then, and cancelling during the free period costs nothing and takes effect at once. The free period is offered once per account.

Every paid plan opens with seven days free. The card on file is not charged during those seven days, and a plan cancelled before the eighth day is never charged at all. Where a page is offered through the site without a card being taken at signup, no charge can occur until a card is added.

After the free days, fees are stated in United States dollars, are billed monthly in advance, and are charged to the payment method on file until the plan is cancelled. Sales tax or equivalent may be added where the law requires it. Payment processing is carried out by Stripe; we do not receive or store your full card number.

If a payment fails, the service will attempt it again over the following days and will notify you by email. If payment remains outstanding, we may suspend the account as described in section 14. We will give at least 30 days' notice by email before any increase in the fee for an existing plan, and you may cancel before the increase takes effect.

6. Free plans

Certain categories of user, currently teachers at listed schools, may use BookHere at no charge. A free plan carries the same obligations as a paid plan under this agreement, and the same commitments from us in relation to privacy and security. We may change the eligibility criteria for a free plan, or withdraw it, on 30 days' notice by email. We will not convert a free account to a paid one without your express agreement.

7. Cancellation and refunds

You may cancel at any time from your studio settings. There is no minimum term and no cancellation fee. Your booking page and studio remain available until the end of the billing period you have already paid for, after which the page stops accepting bookings.

Refunds. Fees already paid for a period that has begun are not refunded, whether or not the service was used during that period. If we discontinue the service, or terminate your account other than for a breach of this agreement, we will refund the unused portion of any fee you have paid. Where a payment was taken in error, we will refund it in full.

You may export your customer list at any time before or after cancellation while the account remains accessible. Data deletion after closure is described in section 26.

8. Your responsibilities

You operate your own business and you remain solely responsible for it. In particular you are responsible for:

9. Appointments and your customers

An appointment made through BookHere is an arrangement between you and your customer. We do not guarantee that a customer will attend, that you will attend, or that either party will perform. We do not mediate disputes between you and your customers.

You are responsible for honouring appointments accepted through your page, for cancelling them promptly and courteously if you cannot, and for telling your customer why. The service provides a cancellation message for that purpose; the words in it are yours and are sent on your behalf.

Deposits

You may ask a customer to pay a deposit to hold an appointment. Deposits are optional, are switched on by you, and require you to connect your own account with Stripe, Inc. You set the amount for each service. BookHere handles the deposit only. The price you charge for the appointment itself is agreed between you and your customer and is never taken or recorded by BookHere.

Each deposit is charged directly on your Stripe account. You are the seller of record for it, the money is paid into your account and never into ours, and Stripe's processing fee is deducted from it under your own agreement with Stripe. Your use of Stripe is also governed by Stripe's terms, including the Stripe Connected Account Agreement.

An appointment with a deposit is not booked until the deposit is paid. The time is held for ten minutes while the customer pays, and is released if they do not.

These rules apply to every deposit taken through BookHere, and your customer is shown them before paying:

Refunds are made from your Stripe balance. If Stripe cannot make a refund, for example because your balance does not cover it, we tell you and you are responsible for refunding the customer. Disputes and chargebacks on a deposit are between you, your customer and Stripe.

10. Acceptable use

You may not use BookHere to offer or advertise anything unlawful, to offer sexual services, to harass, defraud or mislead, to infringe another party's rights, to send unsolicited bulk messages, or to attempt to gain unauthorised access to any part of the service or to another account. You may not copy, scrape, resell or reverse engineer the service, or use it to build a competing product.

Automated access, load testing and security research against the live service require our prior written permission.

11. Content you provide

You keep ownership of everything you upload: your name, your images, your descriptions, your rules and your customer records. You grant us a limited, non-exclusive licence to store, reproduce and display that content strictly as required to operate the service for you, and for no other purpose. We do not sell it, license it onward, or use it to train models.

You confirm that you hold the rights to the content you upload, including any photograph of a person, and that its display does not infringe the rights of anyone else. We may remove content that we reasonably believe is unlawful or breaches this agreement, and will tell you when we do.

12. Intellectual property

The BookHere software, name, page designs and supporting material remain our property. Nothing in this agreement transfers ownership of them to you. You are granted a non-exclusive, non-transferable right to use the service for the duration of your plan.

13. Availability and support

We aim to keep the service continuously available, and we monitor it, but we do not offer a contractual uptime guarantee. Maintenance is normally carried out at quiet hours and, where it is planned and likely to interrupt bookings, we will give notice by email.

Support is provided by email at kidus@kidusdigitalgroup.com. We aim to respond within one business day.

14. Suspension and termination

We may suspend or terminate an account where fees remain unpaid after notice, where the account is used in breach of section 10, where we are required to do so by law, or where continued operation would expose us or a third party to material risk. Except where the law or the seriousness of the breach prevents it, we will give notice and a reasonable opportunity to put the matter right.

You may terminate at any time as described in section 7. On termination, your booking page stops serving requests and access to the studio ends.

15. Warranties and liability

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for lost profit, lost revenue, lost business or lost goodwill. Our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim, or one hundred United States dollars, whichever is greater.

Nothing in this agreement limits liability for fraud, for fraudulent misrepresentation, or for any other liability that cannot be limited by law.

16. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from the services you supply to your customers, from content you upload, or from your breach of this agreement. We will notify you promptly of any such claim and will not settle it without your agreement, which you will not unreasonably withhold.

17. Governing law and disputes

This agreement is governed by the laws of the State of Maryland, United States, without regard to its conflict of law rules. The state and federal courts located in Maryland have exclusive jurisdiction over any dispute that cannot be resolved between us.

Before commencing proceedings, each party agrees to raise the matter in writing and to allow 30 days for it to be resolved directly.

18. Changes to this document

We may update this document as the service changes or as the law requires. The date at the top records the current version. Where a change materially reduces your rights or increases your obligations, we will give at least 30 days' notice by email before it takes effect, and continuing to use the service after that date constitutes acceptance. Minor corrections take effect on publication.

Part two · privacy19. Scope

This part explains what personal information BookHere handles, why, who processes it, where it is held, how long it is kept and what rights are available. It covers two groups of people: the account holder who runs a booking page, and the customer who books an appointment on one.

The short version. We hold what is needed to run a booking page and nothing else. We do not sell information, we do not build advertising profiles, we do not use it to train models, and one account can never see another account's customers. A closed account and everything in it is deleted 30 days after closure.

For information you enter about your own customers, you are the controller and we are the processor acting on your instructions. For your own account information, we are the controller.

20. Information from an account holder

21. Information from a customer

Nothing else is collected about a customer. There is no profile built from other sources and no information purchased from third parties.

22. Device and technical information

Our infrastructure records ordinary technical information needed to serve and protect the site, including IP address, request time, page requested and browser type. These records are used for security, abuse prevention and diagnosis, are retained for a short period, and are not used to profile individuals. The service stores a small amount of data in your browser to keep you signed in and to remember display preferences. We do not use advertising or cross-site tracking cookies.

23. Why the information is used

Where the law requires a lawful basis to be stated, we rely on performance of a contract for operating the service, legitimate interests for security and service improvement, and legal obligation for financial records.

24. Companies that process it

CompanyWhat it does
SupabaseHolds the database and uploaded images.
CloudflareServes the site, stores images, and filters malicious traffic.
StripeProcesses payments, including a customer's deposit into the account holder's own Stripe account, and holds card details. We never receive the full number.
ResendDelivers the emails the service sends.
Apple, GoogleDeliver push notifications to the mobile applications, where enabled. The notification carries no customer information.

Each of these companies acts under contract, processes information only to provide its part of the service, and is not permitted to use it for its own purposes. We do not sell personal information and we do not share it for advertising.

25. Where it is held

Information is held on infrastructure located in the United States, and is served through a global network of edge locations. Where information is transferred out of the country in which it was collected, that transfer is made under the standard contractual protections offered by the providers named above.

26. How long it is kept

RecordKept for
Appointments and customer recordsWhile the account is open, so that the account holder keeps their history.
A closed account and everything in it30 days after closure, then permanently deleted.
Uploaded imagesDeleted with the account, or sooner if the account holder removes them.
Billing and tax recordsAs long as tax law requires, currently seven years, in a form separated from the operational data.
Technical and security logsA short rolling period, currently no more than 30 days.

A customer may ask the account holder to remove their record at any time, and may ask us directly if the account holder cannot be reached.

27. Security

Access to data is restricted by row level security so that one account cannot read another's records. Passwords are stored only as salted hashes. Connections are encrypted in transit. Administrative access is limited, requires separate credentials, and is used only to operate or repair the service.

No system is perfectly secure. If a breach occurs that is likely to result in a risk to the people affected, we will notify the account holders concerned without undue delay, describe what happened, and state what we are doing about it.

28. Your rights

Depending on where you live, you may have the right to obtain a copy of the information held about you, to have it corrected, to have it deleted, to restrict or object to its use, and to receive it in a portable form. Account holders can exercise most of these directly from the studio, including exporting the customer list and closing the account.

To make a request, write to kidus@kidusdigitalgroup.com. We will respond within 30 days. We do not charge for a request and we will not treat you differently for making one. If a customer contacts us about information held by an account holder, we will pass the request to that account holder and assist them in answering it.

29. Children

BookHere is not directed at children and accounts may not be held by anyone under 18. A customer's appointment may be booked by a parent or guardian on behalf of a child, in which case only the details the booking form asks for should be provided. Where a booking page is operated by a teacher, the booking is made by the parent or guardian and we do not knowingly collect information directly from a child.
